IRE AIFM is a third-party alternative investment fund manager (AIFM) directly regulated by the Luxembourg regulator (CSSF) serving EU and non-EU alternative asset managers focused on Private Equity (PE), Real Estate (RE) and Fund of Funds (FoFs) alternative investment funds.

IRE AIFM was founded in 2014 by ImmoFinRe Group, a Multi-Manager Investment Platform founded in 2007 and specialized in indirect real estate private equity investments. In 2019, the managing team of another third-party AIFM join IRE AIFM to develop and up-scale the AIFM third-party model.

IRE AIFM enables EU and Non-EU alternative fund managers to set-up, manage and market their AIFs throughout EU and beyond in an economically-efficient, secure and straight-forward way.

Throughout our real-life experiences, we developed an expertise in planning and coordinating the migration of our clients’ EU and non-EU funds/AIFs and investment entities to Luxembourg as well as any intra-Luxembourg migration (providers change, corporate forms modification)

Migration process

The core of our value proposition aims to make sure that your AIFs are run optimally from an operational point of view while guarantee a full-regulatory compliance. Our scope of services include: portfolio and risk management functions, valuation, cAML and MLRO, marketingdistribution and investors relations.

Services

  • Portfolio Management

    The process related to disinvestment decision making and the investment monitoring will be performed either on a full delegation (i.e. the AIFM delegates portfolio management to a licensed portfolio management company and retains only a supervisory / monitoring function) or advisory basis. In the second scenario the AIFM receives investment advice and will itself take relevant decisions, based on documentation provided by the investment advisors and other external information as well as subject to its own due diligences.

  • Risk Management

    Design, implementation and maintenance of an adequate risk management process dedicated to each investment strategy and to each AIF under management. Risk monitoring using quantitative and qualitative limits as set forth in the AIF’s documentation and applicable laws and regulations. Creation and submission of periodical reporting to the governing bodies of the AIF as well as the CSSF or other relevant parties. Effective contribution during investment due diligences supported the AIFM’s specific IT system.

  • Valuation

    Establishment and maintenance of policies and procedures to ensure a transparent, appropriately documented and comprehensive valuation processes, in accordance with the valuation principles set forth in the AIF’s documentation and applicable laws and regulations; Valuation of the AIF and its underlying investments will be carried out either in-house by the AIFM dedicated team or by third-party delegated agents under the direct supervision of the AIFM.

  • Compliance

    Ensuring that the AIFM and the corresponding AIFs are managed and administered in accordance with all applicable regulations and laws including AML (anti-money laundering), KYC (Know Your Customer) and KYT (Know Your Transactions) duties performed on behalf of the AIFs; - Constant update of internal procedures according to new regulations and circulars issued by the CSSF; - Review and on-going monitoring of other service providers’ procedures and policies to ensure compliance of their respective activities and duties, on-side due diligences; - Provide MLRO officer when required to the AIFs;

  • MichelConducting Officer

    Michel Batter has close to 10 years’ experience within the asset management industry. Michel started his career in EY Luxembourg as external auditor specialized in the audit of investment funds (UCITS, private equity as well as fund of funds) and their related management companies. Michel joined in 2015 a Luxembourg independent third party alternative investment fund manager providing management services to real estate and private equity funds where he acted as Deputy to the Conducting Officer responsible for risk management, valuation and compliance. Michel Batter is acting as independent director for Luxembourgish regulated and unregulated investment funds. He holds a Master degree in Management Engineering with a finance focus from the Catholic University of Louvain in Belgium.

  • GiulioPortfolio Management

    Giuliano Notaroberto gained experience in alternative investments as a junior portfolio manager for a Luxembourg independent third party alternative investment fund manager providing management services to real estate and private equity funds . He also worked a for a Luxembourg corporate services and advisory firm where he was involved in the setup and on-going administration of private equity and venture capital structures. He acts as independent director for venture capital and private equity funds and holds a bachelor degree in Business Administration from the University of Perugia (Italy) and a master degree in Economics and Finance from the University of Luxembourg.

  • DemetraRisk Management

    Demetra Mintseva graduated with a double Master’s degree in Finance from the universities HEC Liège and Aix Marseille. She gained experience in risk management as part of the ERM team of Generali France, where she was involved in the risk identification process for Life and Non-Life entities.

  • NunzioHead of Business Development

    Nunzio di Marino has 10 years of experience in wealth management, wealth planning and wealth structuring. He has earned different financial qualifications. His expertise is focused on private equity, real estate investment and wealth structuring. He has gained experience in alternative investments and structuring while working as Head of Wealth Planning & Structuring at two international family offices (first in Gibraltar and then in Geneva) where he led the setup of alternative investment funds in different jurisdictions. He had previously worked at a family office for 6 years leading the company’s Business Development and participating in a range of projects. In addition to his financial expertise and entrepreneurship, Nunzio is an experienced relationship manager and speaks fluently French, English and Italian.

  • DavidConducting Officer / Board Member

    David Luksenburg has more than 15 years of experience with the investment funds industry with a particular focus on alternative investments. He previously co-founded a Luxembourg independent third party alternative investment fund manager providing management services to real estate and private equity. He is also the co-founder of a Luxembourg corporate services and advisory firm specialized in Alternative Investments Vehicle and Technology companies. He was previously the Conducting Officer of a Value Investment management firm in Luxembourg. David has a master and post degrees in business administration and finance from HEC-Liège. He also has an INSEAD MBA (Promotion July 2010).

    Radek Pawlowski is accomplished C-level executive with wide-ranging experience in strategic planning, policy & business development and global operations leadership for high-growth organizations in the Private Equity and Venture Capital space. He has proven success in fund management, investor relations, counseling cross-functional departments, developing new business procedures, and identifying and resolving risk factors to achieve mission-critical results. He holds J.D. degree from Hofstra University School of Law and B.A in Political Science from Yale University.

    Mr Albéric Braas has been Chairman of the Management Committee of the General Partner of ImmoFin SCA SICAR in voluntary liquidation, the first ImmoFinRE fund, since its inception in May 2007. He is also Managing Director, Vice-Chairman of the board and CEO of ImmoFinRE Capital Partners S.A. and Chairman of the board of directors and CEO of the general manager of ImmoFinRe II SCA SICAV FIS since its inception in 2010 and of the general manager of ImmoFinRE III SCA SICAV FIS. Before co-founding the ImmoFinRE project in 2007, by experience, Mr BRAAS was a financial and strategic consultant specialised in financial restructuring for unlisted companies since the early 2000s. He began his career at Booz, Allen & Hamilton in Paris, AbuDhabi, Doha, Buenos Aires and New York before becoming an entrepreneur in the consulting  business, co-founding and co-managing two international success stories (Oliver Wyman and Co. and Mitchell Madison Group) in 1984 and 1994 respectively.  Mr Braas has two Law degrees from the Université de Liège in Belgium and an MBA from Stanford University in California.
